Mandate:

• Propose a slate of nominees, at the Annual General Meeting, to replace directors whose terms are ending or who are resigning their position;
• Propose to the Board of Directors for approval the names of board members serve on the Executive Committee, as required by the circumstances; and
• Select candidates to replace board members who relinquish their positions during their terms of office and oversee election of replacement board members.
